Key responsibilities

●In depth knowledge of corporate law and be able to guide clients on complex solutions
●Manage a portfolio of clients
●Delegate effectively and efficiently.
●Ensure compliance with company law and all regulatory requirements
●Maintain statutory books, registers, and corporate records accurately
●Coordinate board meetings, prepare agendas, and draft comprehensive minutes
●Manage timely filings with FSC and other regulatory bodies
●Provide expert advice to the Board on governance best practices
●Handle shareholder communications and coordinate AGMs/EGMs
●Support corporate transactions, restructuring, and expansion activities
●Liaise with legal counsel, auditors, and regulatory authorities
●Oversee corporate compliance calendar and ensure timely submissions

Candidate Selection Criteria:

The ideal candidate will hold a professional qualification in company secretarial practice (such as ICSA) or a law/accounting background with relevant experience. Strong knowledge of corporate governance, regulatory compliance, and statutory requirements is essential. Candidates should demonstrate excellent organizational, communication, and interpersonal skills, with the ability to manage board processes, maintain accurate records, and provide strategic advice to senior management. Attention to detail, integrity, and the capacity to work both independently and collaboratively are key to success in this role.

Required Qualifications
●Professional Company Secretary qualification (ICSA, ACS, or equivalent)
●Bachelor's degree in Law, Business, or related field preferred
●3-5 years of experience in corporate secretarial or governance role
●Thorough knowledge of company law and corporate governance principles
●Excellent organizational and project management skills
●Strong written and verbal communication abilities
●High level of discretion and professionalism
●Experience with corporate secretarial software and MS Office

Work condition:

This role is based in a professional office environment with standard working hours, typically Monday to Friday. The position involves managing board meetings, maintaining statutory records, and coordinating with senior management and regulatory bodies. Occasional extended hours may be required during board meetings, regulatory filings, or compliance deadlines. The role combines independent tasks with cross-functional collaboration and requires discretion, professionalism, and attention to detail.
